Introduction

These Terms and Conditions govern the relationship between you (the “Client”) and The Medius (the “Company”), a design company based in the UK that provides design subscriptions as a service. By signing up for a subscription plan, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms and Conditions, you should not sign up for a subscription plan.

Subscription Plans

The Company offers different subscription plans that vary in price, duration, number of design requests, revisions, turnaround time, and other features. The details of each subscription plan are available on the Company’s website. You can choose the subscription plan that best suits your needs and budget.

You can sign up for a subscription plan by filling out an online form on the Company’s website and providing your payment information. You will receive a confirmation email once your subscription is activated. Your subscription will start on the date of activation and will renew automatically at the end of each billing cycle unless you cancel it in accordance with these Terms and Conditions.

You can upgrade or downgrade your subscription plan at any time by contacting the Company’s customer support team. Any changes to your subscription plan will take effect from the next billing cycle. You will be charged or refunded the difference in price between your old and new subscription plan on a pro-rated basis.

Design Requests

As a subscriber, you can submit design requests to the Company via email or an online platform provided by the Company. You can submit as many design requests as allowed by your subscription plan. However, you can only have one active design request at a time. The Company will not start working on your next design request until you approve or request revisions for your current design request.

You are responsible for providing clear and detailed instructions, specifications, and feedback for each design request. You should also provide any relevant materials, such as logos, images, fonts, colors, or content, that you want the Company to use or incorporate in your design. The Company will not be liable for any errors, delays, or dissatisfaction caused by your failure to provide adequate information or materials.

The Company will assign a dedicated designer to work on your design requests. The designer will communicate with you via email or an online platform provided by the Company. You should respond to the designer’s questions, comments, or requests promptly and courteously.

The Company will deliver your design request within the turnaround time specified by your subscription plan. The turnaround time is an estimate and may vary depending on the complexity, scope, and quality of your design request. The Company will notify you if there are any expected delays or issues with your design request.

You can request unlimited revisions for each design request within the scope of your original instructions and specifications. You should provide specific and constructive feedback for each revision request. The Company reserves the right to reject or charge extra for revision requests that are unreasonable, excessive, or outside the scope of your original instructions and specifications.

You can approve or reject each design request delivered by the Company. If you approve a design request, you will receive the final files in the format and resolution specified by your subscription plan. If you reject a design request, you can either request revisions or cancel it without receiving any files.

Ownership and License

The Company retains all rights, title, and interest in and to the designs created by the Company for you until you approve them. Once you approve a design request, the Company grants you a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute, display, and perform the approved design for any purpose related to your business or personal use.

You acknowledge and agree that the Company may use any designs created by the Company for you for its own marketing, promotional, or portfolio purposes unless you explicitly request otherwise in writing. You also acknowledge and agree that the Company may use third-party materials, such as stock images, fonts, icons, or templates, in creating your designs. You are solely responsible for obtaining any necessary licenses or permissions for using such third-party materials.

You represent and warrant that you have all rights, permissions, and consents to submit any materials or content that you provide to the Company for your design requests. You also represent and warrant that your use of the designs created by the Company for you will not infringe or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party.

You agree to indemnify, defend, and hold harmless the Company from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising out of or relating to your breach of these Terms and Conditions, your violation of any laws or regulations, or your infringement or misappropriation of any rights of any third party.

Payment and Billing

You agree to pay the Company the fees applicable to your subscription plan, as well as any taxes, charges, or fees imposed by any government or regulatory authority. You authorize the Company to charge your payment method on a recurring basis at the beginning of each billing cycle. You are responsible for keeping your payment information accurate and up to date.
